These Terms of Service ("Terms") govern your access to and use of the Discresh mobile application and website (collectively, the "Service") provided by Discresh, Inc., a Delaware corporation ("Discresh", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.

1. Eligibility

You must be at least 18 years of age, or the age of majority in your jurisdiction, or have the consent of a parent or legal guardian (where permitted by applicable law) to use the Service. By using the Service, you represent and warrant that you meet the applicable eligibility requirements and have the legal capacity to enter into these Terms.

The Service is intended for personal, non-commercial use.

2. Description of Service

Discresh is a personal finance awareness application that helps you understand your discretionary spending capacity. The Service:

• Connects to your financial accounts on a read-only basis via Plaid Technologies, Inc.
• Calculates a daily discretionary spending number based on your available balance and configured fixed obligations
• Displays this number via a home screen widget and in-app interface

Discresh is a budgeting awareness tool only. We are not a bank, financial institution, investment advisor, or credit provider. We do not move money, initiate transactions, provide financial advice, or guarantee the accuracy of any financial calculations. You are solely responsible for your own financial decisions.

3. Account Registration

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately at hello@discresh.com of any unauthorized use of your account
• Accept responsibility for all activity occurring under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

4. Financial Account Connection

The Service uses Plaid to connect to your financial accounts. By connecting your accounts, you:

• Authorize Discresh to receive read-only access to your account balances and transaction history via Plaid
• Acknowledge that Plaid's Terms of Service and Privacy Policy also govern your use of that connection
• Understand that Discresh cannot and does not initiate any financial transactions on your behalf
• May disconnect your financial accounts at any time through the Service settings

You are responsible for ensuring that your use of any financial account connection complies with your agreements with your financial institution.

5. Subscription and Payment

5.1 Pricing

Discresh offers a free plan with manual entry, plus the following paid subscription plans:

• Annual: $99.00 per year (best value)
• Weekly: $4.99 per week
• Monthly: $9.99 per month

Connecting more than two financial accounts adds $2.00 per month per additional connected account.

Discresh does not offer a free trial. Instead, we offer a 30-day refund promise: if you are not satisfied within 30 days of your initial purchase, contact us at hello@discresh.com for a full refund.

5.2 Billing

Subscriptions are billed in advance on a recurring basis (weekly, monthly, or annually, depending on the plan you select). By providing payment information, you authorize us to charge your payment method on a recurring basis until you cancel. Payments are processed through the Apple App Store, and Apple's payment terms and refund policies also apply. All fees are in US dollars and are non-refundable except as expressly stated herein or required by applicable law.

5.3 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at hello@discresh.com. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until the end of your paid period.

5.4 Price Changes

We reserve the right to change subscription prices with at least 30 days' advance notice. Price changes will not affect your current subscription period and will take effect at the next renewal.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorized access to the Service, other user accounts, or our systems
• Reverse engineer, decompile, or disassemble any portion of the Service
• Use automated tools (bots, scrapers, crawlers) to access the Service
• Submit false, misleading, or fraudulent information
• Transmit viruses, malware, or other harmful code
• Interfere with or disrupt the integrity or performance of the Service
• Reproduce, distribute, or create derivative works from any content in the Service without our express written permission

7. Intellectual Property

The Service and all of its content, features, and functionality, including but not limited to the Discresh name, logo, software, design, text, and graphics, are owned by Discresh or its licensors and are protected by US and international copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes in accordance with these Terms. This license does not include any rights to resell or commercially exploit the Service or its content.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of your information as described in the Privacy Policy.

9. Third-Party Services

The Service integrates with third-party services, including Plaid. Your use of such third-party services is governed by their respective terms and privacy policies. We are not responsible for the practices or content of third-party services and encourage you to review their terms before connecting your accounts.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) ANY INFORMATION PROVIDED THROUGH THE SERVICE, INCLUDING FINANCIAL CALCULATIONS, WILL BE ACCURATE, COMPLETE, OR CURRENT; OR (C) THE SERVICE WILL MEET YOUR REQUIREMENTS.

DISCRESH IS NOT A FINANCIAL ADVISOR. NOTHING IN THE SERVICE CONSTITUTES FINANCIAL, INVESTMENT, LEGAL, OR TAX ADVICE. YOU SHOULD CONSULT QUALIFIED PROFESSIONALS FOR SUCH ADVICE.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DISCRESH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Discresh and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violations of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property, disclaimers, limitation of liability, and dispute resolution.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal proceeding, you agree to contact us at hello@discresh.com and attempt to resolve any dispute informally for at least 30 days.

14.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

14.3 Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Judgment on the award may be entered in any court of competent jurisdiction.

YOU AND DISCRESH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTION LITIGATION. You may opt out of arbitration within 30 days of first agreeing to these Terms by emailing hello@discresh.com with the subject line "Arbitration Opt Out."

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email and by posting the updated Terms within the Service with a new effective date. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes.

16. Severability and Waiver

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Discresh with respect to the Service and supersede all prior agreements and understandings.
